Litigation and Pre-Litigation Cases

• Prepared an appraisal of a 25% member interest in a construction company for the deposed member (“Claimant”) under the Fair Value standard prescribed by Section 10.362 of the Texas Business Organizations Code. Provided expert testimony in arbitration in opposition of the value opinion produced by a local office of a large national valuation firm. Convergent’s value conclusion and expert testimony prevailed and Claimant was awarded full appraised value plus attorney’s fees.
• Determined the value of an endodontics/dental practice for mediation purposes, which included taking into consideration the allocation of personal goodwill and corporate goodwill.
• Provided appraisal services and conclusions of value for ownership interests in nationally franchised insurance adjusting businesses and a CrossFit Gym for use in a divorce matter.
• Value conclusion prevailed in mediation and settlement over a competing valuation firm's opinion related to a shareholder's interest held in a large licensed recording insurance agency involved in a marital dissolution case.
• Engaged by the managers/members of a railroad switching equipment manufacturing company to determine the equity value for buy-out of one member that was expelled from the company, following provisions within the Company Agreement and Section 10.362 of the Texas Business Organizations Code.
• Determined the fair value of a 25% shareholder interest in a Texas-based investment management company relying on guidance from Subchapter H of Chapter 10 of the Texas Business Organizations Code for the standard of value ("Fair Value").
• Completed valuation for use in mediation to support the acquisition of a 30% interest in an oilfield services drilling contractor to support the buy-out of a former shareholder. Utilizing the results of our valuation, a buy-out price was agreed upon prior to the set court date.
